  • Entity selection and formation, having worked with many clients in setting up, merging, consolidating, dissolving and reorganizing corporations, limited liability companies and partnerships; Stan Soper has experience in entity selection and has coordinated establishing and/or qualifying entities in numerous jurisdictions including Washington, Utah, Hawaii, Delaware, Barbados, the UK, China, Norway, Panama and Japan.

  • Identifying and resolving critical business issues, including those requiring the interpretation or application of ambiguous rules or multi-jurisdictional rules and issues.

International Business

 

Stan Soper has significant international experience, including:

  • Establishing branches and/or subsidiaries and offices in Canada, Norway, the United Kingdom, China, Japan and the Caribbean.  

  • Establishing and negotiating key distributor relationships in Russia, Mexico, Brazil, the Ukraine, Dubai, the Philippines and South Korea.

  • Researching and evaluating new international markets and their regulatory and legal issues and assisting companies in developing and carrying out an entry plan that helps reduce the risk of compliance and legal issues.


Mergers and Acquisitions

 

Stan Soper has significant mergers and acquisitions experience, including:

  • Acting as the key negotiator and drafter for over 50 stock and asset acquisitions throughout the United States, Norway, the United Kingdom and Barbados.

  • Reviewing and negotiating with parties throughout the world on potential acquisitions, including those in a bidding or auction process as well as those sourced directly to owners.

  • Negotiating with large law firms representing other parties on both the East Coast and West Coast and in other countries.

  • Navigating the unique issues surrounding the purchase and sale of e-commerce or Amazon businesses.


FDA and FTC Regulations and Enforcement Actions

 

Stan Soper has worked in the supplement, cosmetic and OTC space involving FDA and FTC regulations since 1997.  During that time, he has:

  • Developed a depth of knowledge of the regulatory environment and issues that is carefully balanced with an understanding of the enforcement posture and history of relevant agencies.

  • Led or participated in numerous industry lobbying and PR efforts in Washington D.C., including interacting with members of Congress and regulators and their staff members as well as various trade associations.  

  • Designed and developed a custom software solution to manage adverse event recordkeeping and reporting, including semi-automated reporting of serious adverse reactions to FDA.  

  • Personally reviewed and advised on thousands of product labels and warnings and advertising claims.

  • Handling various building and land acquisitions or dispositions throughout the United States, in the Caribbean and in Norway, China and the UK.  

  • Negotiating easements.

  • Acquiring or disposing of water rights.


Trademark Clearance & Disputes

 

Stan Soper has significant trademark experience, including:

  • Clearing hundreds of trademarks for new consumer products.

  • Overseeing a trademark portfolio with hundreds of registrations around the world.

  • Dealing with both infringers and allegations of trademark infringement. 

  • Supervising, managing and resolving dozens of trademark lawsuits in various jurisdictions, including successful trial outcomes against Fortune 100 companies.
